Definitions
- Services: Refers to the Learning & Development (L&D) services provided by HUKSA, including access to L&D programs, introductions to industry Experts, sharing of Expert profiles, and access Learning Management System (LMS), among others.
- Client: Refers to the individual or entity using the Services provided by HUKSA.
- Vendor: Refers to Infollion Research Services Ltd., the parent company operating the HUKSA brand.
- Expert: Refers to trainers, consultants, or industry professionals introduced or facilitated by HUKSA.
- Confidential Information: Refers to all non-public, sensitive, or proprietary information shared between HUKSA and the Client.
Scope of Services
HUKSA, a brand operated by Infollion Research Services Ltd., provides Learning & Development (L&D) services, including but not limited to:
- Access to our Learning Management System (LMS).
- Introduction to industry Experts.
- Sharing of Expert profiles as potential trainers.
Specific details regarding the scope of services and payment terms will be agreed upon on a project-to-project basis.
Proprietary Courses and Content
- HUKSA offers proprietary courses created by industry Experts and the Infollion team.
- All course materials, content, and related intellectual property are owned exclusively by HUKSA and Infollion Research Services Ltd.
- Clients and users are strictly prohibited from copying, reproducing, or distributing any course materials without prior written consent.
Service Memorandum Requirement
- Before sharing any Expert details or profiles with Clients, HUKSA will require the Client to enter into a formal Service Memorandum.
- The Service Memorandum outlines the terms of the engagement and protects the confidentiality of both parties.
Use of Website
- Users must use the website for lawful purposes only and refrain from any activity that could harm the website’s functionality, security, or content.
- Prohibited activities include, but are not limited to, unauthorized access, data scraping, or transmission of malicious code.
Non-Exclusive Relationship
- The arrangement between HUKSA and its clients is non-exclusive.
- Neither party may act as the legal representative, agent, or partner of the other.
- Neither party may make commitments on behalf of the other without prior written consent.
Confidentiality
Both parties agree to:
- Maintain the confidentiality of all shared information, whether written or oral, including material non-public and sensitive business information.
- Use shared information solely for the mutual benefit of both parties.
- Not disclose pricing arrangements with Experts to third parties.
Independent Contractors
- Experts facilitated by HUKSA are considered independent contractors.
- Experts are not employees of HUKSA or its clients.
Non-Solicitation of Experts
Clients agree not to:
- Directly connect with or solicit services from Experts introduced by HUKSA.
- Engage Experts independently for services after being introduced by HUKSA.
Non-Distribution of Expert Lists
Clients shall not:
- Share or redistribute the list of Experts provided by HUKSA without prior written consent.
Intellectual Property
- All content on the website, including text, graphics, logos, and software, is the intellectual property of Infollion Research Services Ltd. or its licensors.
- Users are granted a limited, non-exclusive, and revocable license to use the website solely for personal or business purposes related to the Services.
Liability and Disclaimers
- HUKSA makes no guarantees regarding the accuracy, completeness, or reliability of information or services provided.
- To the maximum extent permitted by law, HUKSA disclaims liability for any damages resulting from the use of its Services or website.
Termination of Services
- Either party may terminate the arrangement by providing written notice.
- Upon termination, Clients must cease using any materials or information obtained through HUKSA.
Cookies and Privacy Policy
- The website uses cookies to enhance user experience. By using the website, you consent to our use of cookies.

Modifications to Terms
- These T&C are effective as of the date of access or usage of our services.
- HUKSA reserves the right to update or modify these T&C at any time. Changes will be communicated through our website.
Dispute Resolution
Any disputes arising out of these T&C or our services shall be resolved amicably between the parties. If unresolved, disputes will be subject to arbitration under applicable laws of India.
Governing Law
- These T&C are governed by and construed in accordance with the laws of India.
- Any legal proceedings shall be conducted in the jurisdiction of Gurugram, Haryana, India.
